These Terms of Service ("Terms") govern your use of the VEXOAPPAREL website (the "Site") and the purchase of products and services from VEXOAPPAREL (the "Company", "we", "us", or "our"). By accessing or using the Site, or placing an order with us, you agree to be bound by these Terms. If you do not agree, you may not use the Site or purchase our products.
1. Eligibility
You must be at least 18 years of age or a duly registered business entity to use the Site and place orders. By using the Site, you represent and warrant that you have the legal authority to enter into these Terms and to conduct business with us.
2. Product Information & Availability
2.1 All product descriptions, images, specifications, and pricing on the Site are for informational purposes only and are subject to change without notice. We strive to ensure accuracy, but do not warrant that product details are error-free.
2.2 Products are subject to availability. We reserve the right to discontinue products or limit order quantities at our discretion.
2.3 For custom products (including personalized jerseys, teamwear, and OEM/ODM orders), product previews are for reference only. Minor variations in color, printing, and sizing may occur due to manufacturing processes.
3. Orders & Payment
3.1 All wholesale orders are subject to our acceptance. We may reject or cancel any order for any reason, including but not limited to insufficient stock, pricing errors, or suspected fraud.
3.2 Payment must be made in full or in accordance with agreed-upon wholesale payment terms (e.g., T/T, PayPal, L/C) before production or shipment. We reserve the right to withhold shipment until full payment is received.
3.3 Prices are quoted in the currency specified in the formal quote or as mutually agreed in writing, excluding shipping, taxes, duties, and customs fees, which are the sole responsibility of the buyer.
4. Minimum Order Quantity (MOQ)
4.1 Our standard MOQ is 20 pieces in total per order, supporting mixed batch purchases (mixed styles, colors, and sizes). For single style/color/size orders, the minimum quantity per SKU is 5 pieces unless otherwise agreed.
4.2 For custom products (including OEM/ODM, logo printing, or fabric customization), the MOQ is 20 pieces in total (supporting mixed designs for the same customization requirement), as specified in the formal quote.
4.3 We may waive the MOQ at our sole discretion for sample orders or established business partners.
5. Custom Orders & Design
5.1 Custom design requests (including logo, name, number printing, and fabric customization) must be submitted in a clear, high-resolution format (e.g., AI, PDF, PNG). We are not responsible for poor quality or unprintable design files.
5.2 A digital proof of the custom design will be provided for your approval before production. Production will not begin until written approval is received.
5.3 Once a custom order is approved, changes to the design or specifications may incur additional fees and delay production. Cancellations of custom orders after approval may result in a forfeiture of the deposit.
6. Shipping & Delivery
6.1 Delivery times are estimates only and begin from the date of payment confirmation and design approval (for custom orders). We are not liable for delays caused by shipping carriers, customs clearance, or unforeseen circumstances (e.g., natural disasters, supply chain disruptions).
6.2 Shipping methods are selected based on order size and destination, unless specified otherwise by the buyer. Tracking information will be provided once the order is shipped.
6.3 Title and risk of loss pass to the buyer upon delivery to the shipping carrier.
7. Returns & Refunds
7.1 Due to the nature of wholesale and custom products, returns and refunds are only accepted in cases of defective products or shipping errors (e.g., wrong item, incorrect size/quantity). Claims must be made within 7 days of delivery with photographic evidence.
7.2 Defective products may be replaced or refunded at our discretion. Shipping costs for returns are the buyer’s responsibility unless the defect is our fault.
7.3 Custom products are non-returnable and non-refundable unless the defect is a result of our manufacturing error.
8. Intellectual Property
8.1 All content on the Site (including logos, text, images, and designs) is the property of VEXOAPPAREL or its licensors and is protected by copyright and trademark laws. You may not reproduce, distribute, or modify any content without our written permission.
8.2 By submitting custom designs or logos, you warrant that you have the legal right to use such materials and indemnify us against any claims of intellectual property infringement.
9. Limitation of Liability
9.1 In no event shall VEXOAPPAREL be liable for any indirect, incidental, special, or consequential damages arising from the use of the Site or the purchase of our products.
9.2 Our total liability for any claim related to an order shall not exceed the total amount paid for the products in question.
10. Governing Law & Disputes
10.1 These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China. This choice of law is made voluntarily by both parties and complies with applicable cross-border commercial regulations (including the provisions of the Supreme People's Court on the application of law for Hong Kong-invested enterprises) .
10.2 Any disputes arising from these Terms or the use of the Site shall first be resolved through amicable negotiation. If negotiation fails, disputes shall be submitted to the competent people’s court in Guangzhou, China (the place where the contract is performed and the core business operation location) for resolution in accordance with the provisions of the Civil Procedure Law of the People’s Republic of China and relevant judicial interpretations .
10.3 This jurisdiction clause is consistent with the centralized jurisdiction rules for foreign-related and Hong Kong, Macao, and Taiwan-related commercial cases, ensuring efficient and professional dispute resolution .
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site after changes are made constitutes acceptance of the revised Terms.
